THIS Deed of Trust executed on
the 20th Day of February two thousand
and four by
- Dr Matthukutty Mathew Monippally,
S/o Shri T J Mathew Monippally, aged
about 54 years, resident of 12-13-296/1,
Street 9, Tarnaka, Hyderabad, and
- Shrimati Philomina Mathukutty Monippally,
W/o. Matthukutty Mathew Monippally,
aged about 51 years, resident of 12-13-296/1,
Street 9,Tarnaka, Hyderabad,
hereinafter called the SETTLORS (which
expression shall whenever the context
so requires or admits, mean and include
their heirs, executors, administrators
and assigns) of the one part;

hereinafter referred to as the TRUSTEES
which expression shall, whenever the context
so requires or admits mean and include
their respective successors in office
of the other part:
WHEREAS the ‘SETTLORS are absolutely
entitled to a sum of Rs.11,000 (rupees
eleven thousand only) in cash and:
Whereas the ‘SETTLORS’ are
desirous of setting up a Trust for Education,
and other charitable purposes, and whereas
in pursuance of the aforesaid desire the
Settlors have decided to create an irrevocable
in the memory of their late son Manu Monippally
with the sum of Rupees eleven thousand
for education and other charitable purpose
of the Trust and upon the terms and conditions
hereinafter mentioned.
I. CREATION OF THE TRUST:
The SETTLORS above named hereby created
a Trust by the name of “MANU FOUNDATION”.
It shall be a public charitable trust
and its administrative headquarters shall
be at 72 LIC Colony, Near Indira Park,
Hyderabad 500 080, Andhra Pradesh.
II. OBJECTS OF THE TRUST:
Nature of the trust: This trust
shall be a public charitable trust having
no commercial or profit motives. It shall
be maintained and administered to promote
education and betterment of the under
privileged and any other objects of general
public utility by funding, aiding or supporting
any other charitable trusts, institutions
or organizations whether created by this
trust or others having similar objects
or engaged in the field of public services
and registered u/s 12A and 80-G of the
Income tax act, 1961. The benefit of this
trust shall ensure to all sections of
public in India without any reference
to caste, creed or linguistic background.
The Trust property including its funds
and income shall be applied solely towards
promotion of the objects for which the
trust is established.
Objects of the trust: Without in any way
limiting the generality of the main objects
stated above, the objects of the trust
are to provide funds to help bright students
from economically backward homes to pursue
education. The charitable purposes for
which the said trust has been created
shall be one or more of the following.
To give relief to bright but economically
and/or socially weak students who wish
to study but are prevented because of
lack of financial resources.
To organize coaching camps or to finance
training programmes that will enhance
students’ skills.
To promote any other objects of general
public utility by funding, aiding or supporting
any other charitable trusts including
International organizations such a Rotary
club, Lions Club etc, in implementing
projects taken up by them.
To grant research fellowship or grant
financial assistance to deserving persons
or institutions engaged in research.
To undertake efforts towards the advancement
of any other object of general public
utility, especially with a bearing on
young people from poor homes.

PROVIDED ALWAYS that the beneficiaries
of the trust hereby created shall not
be restricted to any community or caste
or creed but the trust shall be for the
benefit of the public generally and both
the corpus and the income of the Trust
shall be applied and expended wholly and
exclusively in India or for the benefit
of citizens of India or abroad or for
purposes which tends to promote international
welfare in which India is interested.

III. TRUSTEES AND MANAGEMENT OF
TRUST
MANAGEMENT OF TRUST
This trust shall be administered by a
Board of Trustees whose number shall not
be less than five or more than nine. The
first founder trustees shall be the permanent
trustees and shall be referred to as life
trustees. The remaining shall be co-opted
and/or nominated. The LIFE TRUSTEES may
nominate other trustees and they will
be called “Nominated Trustees”.
The trustees shall elect the Chairman,
Treasurer and Secretary from amongst themselves
once in three years. The routine administration
of the trust, its property and affairs,
convening meetings of the trustees, maintaining
amenities, accounts, records, and other
documents of the trust shall be looked
after by the Secretary of the Board of
Trustees.
LIFE TRUSTEES
There shall be two life trustees
and the following two being trustees whose
names are given below shall be the life
trustees:-

54 years, resident of 12-13-296/1, Street
9, Tarnaka, Hyderabad.
Shrimati Philomina Mathukutty Monippally,
W/o. Matthukutty Mathew Monippally, aged
about 51 years , resident of 12-13-296/1,
Street 9, Tarnaka, Hyderabad .
The life trusteeship will be terminated
by death, resignation, proven insanity.
Each life trustee shall nominate his/her
successor who should be a blood-relation
of the life trustees. The succession made
by such a trustee shall be the sole prerogative
of the retiring trustee and such nomination
shall not be questioned by any other trustee
or any outsider in any court of law or
proceeding or before any tribunal.
Should a retiring trustee fail to make
a nomination as provided for in clause
(i) above, then the remaining trustees
shall by mutual consultation nominate
a person related by blood to the life
trustees as provided in clause (i) above.
NOMINATED TRUSTEES
- There shall be up to seven more trustees
who shall be selected and nominated
by the life trustees. Such trustees
shall serve on the Trust Board for a
period of three calendar years. Such
trustees shall be designated as nominated
trustees. The trustees have nominated
the following as nominated trustees
for three years.

- The nominated trustees may be renominated
by the life trustees to serve on the
trust for one or more terms of three
calendar years.
- The life trustees shall ensure that
they nominate such persons to the trust
who would be able to contribute to the
development and growth of the trust.
- If the majority of the life trustees
feel that the conduct of any nominated
trustee is against the interest of the
trust and his/her continuance on the
trust would be harmful, there may be
a majority decision remove such a trustee
with a notice in writing. Such removal
cannot be questioned in any court of
law.
- No remuneration is taken or paid
by any one of the trustees as the post
of the trustees is only honorary post
and as the trustees agreed to function
and do their duties voluntarily.

ACCOUNTS AND MINUTES
The trustees shall maintain true
and correct accounts of all receipts and
expenses and disposal of the funds and
properties of the trust and write minutes
of their deliberations and meetings. Accounting
year of the trust shall be that of financial
year and accounts shall compulsorily audited
every year by a charted accountant.
PROPERTIES AND FUNDS OF THE TRUST
The properties and funds of the
trust shall be and consist of:
- Such funds, properties and other
assets as may be provided and transferred
to the trust by the life trustees or
others;
- contribution from the public for
the specific or general purposes of
the trust whether from India or abroad;
- the income of the various institutions
and establishments derivable in pursuance
of and under this Trust;
- contributions, grants, aids and the
like recurring and non recurring from
governments, state or union, international,
medical, educational and other charitable
foundations or institutions in India
and abroad made to the Trust from time
to time;
- such other income, resources, receipts
and whatsoever received for the furtherance
and advancement of the objects and purposes
of the Trust;
- accretions to and income from the
trust properties, movable and immovable.
- The funds of the trust shall be invested
in the forms and modes specified section
11 (5) of the Income Tax Act, 1961 or
any other Act or regulation concerning
charitable Trusts.
All powers of administration, control
and authority in respect of the trust
properties and funds shall vest in the
Board of Trustees for the benefit of and
achievement of the objects and purposes
of the Trust.
The Trustees shall not apply, divert or
transfer any of the properties, assets,
funds, etc, of the Trust for any purposes
or objects other than those set out in
this Deed.
